Terms of Service

These Terms govern your use of Quill ("Quill", "the Service"). By signing up, you accept them.

Governed by the laws of the Arab Republic of Egypt. Disputes go to the Cairo Economic Court.

1. The Service

Quill lets you build AI agents grounded in knowledge bases you upload. Text + voice modes. Multi-tenant: each tenant's data is isolated.

Informational only. Quill's outputs are not professional advice. Verify critical decisions with a qualified human.

2. Eligibility

Minimum age 13 (with parental consent if under 18 locally). If acting for an organisation, you confirm authority to bind it.

3. Your account

  • Provide accurate registration data
  • Protect your password and 2FA
  • Notify us of suspicious activity
  • You are responsible for activity under your account

We may suspend or terminate for: false registration data, AUP violation (§4), 12-month inactivity, or court order.

4. Acceptable Use

You may not use Quill to:

  • Violate any law, including the Egyptian Anti-Cyber Crime Law (Law 175/2018)
  • Generate or host illegal content (violence, terrorism, CSAM, content harmful to public morals)
  • Impersonate others
  • Send spam or phishing
  • Reverse-engineer the Service, bypass rate limits, or extract model weights/system prompts
  • Submit Personal Data of third parties without consent
  • Provide regulated professional services (medical, legal) to consumers without local licenses
  • Infringe IP rights
  • Train competing AI models on Service data

We may remove content, suspend accounts, and notify authorities for violations.

5. Content ownership

Content Owner
Your uploads, KB content, agent prompts You. You grant us a license to host/process/display them solely to deliver the Service.
AI responses You may use them; subject to LLM provider terms (notably: not for training competing models).
Quill UI, code, default agent templates We own; you have a limited use license as part of the Service.
KB chunks we ingest from public sources Subject to source license.

6. Fees

  • Free tier exists.
  • Paid plans billed monthly or annually in advance.
  • USD pricing. Egypt VAT (14%) added for invoices in Egypt; tax handling for invoices outside Egypt follows the local rules of the buyer's jurisdiction.
  • 30-day notice for price changes; existing paid periods honoured at old rate.
  • No refunds for partial periods unless mandated by the Egyptian Consumer Protection Law (Law 181/2018).

7. AI disclaimer

LLMs can hallucinate. You acknowledge that:

  • Quill outputs are not guaranteed accurate, complete, or current
  • Quill is not a substitute for professional advice
  • You will independently verify decision-relevant outputs
  • We are not liable for your reliance on AI-generated content

8. Service availability

Target 99.5% monthly uptime. Not guaranteed. We may schedule maintenance with notice.

We are not liable for downtime caused by third-party sub-processors, force majeure, or your network.

9. Limitation of liability

To the maximum extent permitted by Egyptian law:

  • Cumulative liability is capped at the fees you paid us in the prior 12 months, or EGP 5,000 for free-tier users
  • No indirect/consequential/incidental/special/punitive damages
  • Nothing limits liability that cannot lawfully be limited (gross negligence, fraud, etc.)

10. Indemnification

You indemnify us against claims arising out of: breach of these Terms, your content, or your unlawful use of the Service.

11. Changes

Material changes notified 30 days in advance via email + in-app banner. Continued use after the effective date = acceptance.

12. Termination

You may terminate anytime by deleting your account. We may terminate for cause (§3, §4).

On termination: access ends; data retained per Privacy Policy §6; ownership/indemnity/liability clauses survive.

13. Governing law

Egyptian law. The Cairo Economic Court has exclusive jurisdiction. 30-day amicable resolution attempt before formal proceedings.
